These Terms of Service ("Terms") govern your access to and use of Softment's website located at softment.com and any related pages, forms, and tools (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.

If you are using the Services on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company.

1) Who We Are

"Softment", "we", "us", and "our" refers to Softment and its affiliates.

2) The Services

Softment provides information about its services and may offer interactive tools such as estimators, planners, proposal generators, chat experiences, document templates, diagnostics, and other resources. Some tools may be AI-assisted.

3) No Professional Advice

The Services may provide general information, estimates, templates, or AI-generated outputs. These are for informational purposes only and are not legal, financial, or professional advice. You are responsible for how you use any output from the Services.

4) Estimates, Plans, and Proposals

Any estimates, timelines, roadmaps, plans, or proposals generated by the Services are non-binding and may change based on your final requirements, technical constraints, third-party dependencies, and scope changes. A binding scope and price require a separate written agreement signed by both parties.

5) AI-Assisted Features

If the Services include AI-assisted functionality:

  • Outputs may be incomplete, inaccurate, or may not reflect real-world constraints.
  • You must verify outputs before relying on them.
  • You should not submit sensitive personal information unless necessary.

6) User Content (What You Submit)

You may submit information through forms, chat, uploads, or links (including project briefs, files, repository links, or screenshots) ("User Content").

  • You retain ownership of your User Content.
  • You grant Softment a limited, non-exclusive license to use User Content solely to operate the Services and respond to your request (e.g., generating a report, estimate, or proposal).
  • You represent you have the rights to submit the User Content and that doing so does not violate any law or third-party rights.

7) Diagnostic / Code Review Tools (If Used)

If you submit code, archives, or repository links for diagnostic or review:

  • You are responsible for ensuring you have permission to share that material.
  • Any report is based on automated and/or manual review and may not identify every issue.
  • Unless otherwise agreed in writing, reports do not guarantee security, correctness, or compliance.

8) Third-Party Services

The Services may rely on third-party providers (e.g., hosting, analytics, email delivery, payment processors). Softment is not responsible for third-party services and their availability or performance. Your use of third-party services may be subject to their terms.

9) Acceptable Use

You agree not to:

  • Use the Services for unlawful, harmful, or abusive activity
  • Attempt to disrupt or compromise the Services (including probing, scanning, or testing vulnerabilities without authorization)
  • Upload malicious code or content
  • Misrepresent your identity or authority to submit materials

We may suspend or block access to the Services if we reasonably believe you violate these Terms.

10) Intellectual Property

The Services, including the website design, text, graphics, logos, and software (excluding your User Content), are owned by Softment or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without written permission.

11) Confidentiality

If you share non-public information for evaluation (such as private project details or code), we will treat it as confidential and use it only for the purpose you requested, subject to our Privacy Policy and any separate NDA if executed.

12) Payments and Refunds

If the Services include paid features (such as a kickoff fee, deposit, or paid deliverables), pricing and payment terms will be shown at checkout and/or in a separate written agreement.

Payments may be processed by third-party payment processors (for example, Razorpay and/or Stripe). Softment does not store full card or bank credentials on our servers.

Refunds, cancellations, and timelines are described in our Refund & Cancellation Policy. Where a conflict exists, a signed written agreement controls.

13) Delivery (Digital Services)

Softment primarily provides digital services (consulting, project work, and digital deliverables such as PDFs/reports). Delivery timelines depend on the scope you select and any written agreement.

For digital deliverables purchased directly on softment.com, delivery is typically immediate or within 1 business day. If you do not receive the deliverable within that time, contact us at support@softment.com with your order/payment details.

14) Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOFTMENT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

15) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOFTMENT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOFTMENT'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO SOFTMENT FOR THE SPECIFIC PAID FEATURE GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS BEFORE THE EVENT, OR USD $100 IF YOU DID NOT PAY ANY AMOUNTS.

(Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.)

16) Indemnification

You agree to indemnify and hold harmless Softment from claims, damages, losses, and expenses (including reasonable legal fees) arising from your User Content, your use of the Services, or your violation of these Terms.

17) Termination

We may terminate or suspend access to the Services at any time if we believe you violated these Terms or if necessary to protect the Services or others. You may stop using the Services at any time.

18) Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. If a dispute cannot be resolved informally, the courts located in Delaware will have jurisdiction, unless required otherwise by applicable law.

19) Changes to These Terms

We may update these Terms from time to time. The "Last updated" date reflects the latest version. Your continued use of the Services after changes means you accept the updated Terms.
